Deliveroo Developers Terms of Use

Welcome to Deliveroo developers ("POS API Deliveroo developers"). This page (together with the documents referred to on it) tells you the terms of use (“Terms of Use”) on which you (a “POS API Deliveroo developers User”) may make use of the information and functionality of our POS API Deliveroo developers.

Please read these Terms of Use carefully. By accessing our POS API Deliveroo developers, you indicate that you accept these Terms of Use and that you agree to abide by them when using the POS API Deliveroo developers. If you are an employee, director or agent of a company or other organisation, you represent and warrant that you are authorised to accept these terms on behalf of your company or organisation. If you do not agree to these Terms of Use, do not access our POS API Deliveroo developers.

1. INFORMATION ABOUT US

The POS API Deliveroo developers is operated by Roofoods Limited ("we", "us" or "Deliveroo"), incorporated and registered in the England and Wales, whose registered office is at The River Building, Level 1 Cannon Bridge House, 1 Cousin Lane, London, EC4R 3TE, United Kingdom. Our Company registration number is 08167130. Our VAT number is 150 0190 65.

2. ACCESSING DELIVEROO DEVELOPERS

The purpose of our POS API Deliveroo developers is to provide information and documentation to our community of developers (“POS API Developer Documentation”) who wish to use our software development testing environment (“POS API Sandbox”) and our other software development libraries and tools (“POS API Developer Tools”).

Access to our POS API Deliveroo developers is permitted on a temporary, invitation-only basis, and we reserve the right to withdraw or amend access to our POS API Deliveroo developers without notice (see below). We will not be liable if, for any reason, our POS API Deliveroo developers is unavailable at any time or for any period.

Please note that we restrict access to our POS API Sandbox, some of our POS API Developer Documentation and POS API Developer tools and some parts of our POS API Deliveroo developers to POS API Deliveroo developers Users who have registered and created a login account with us. We reserve the right to deactivate accounts of POS API Deliveroo developers Users at any time.

If you register with us and create an account, you are responsible for maintaining the confidentially of your login details and any activities that occur under your account in respect of the POS API Deliveroo developers. You must not share your login details with anyone else. If you have any concerns about your login details or think they have been misused, you should contact us at the following email address straight away to let us know: contact.developers@deliveroo.com.

3. OTHER APPLICABLE TERMS

In addition to these Terms of Use, there may be other terms and conditions that will apply to you when you use our POS API Deliveroo developers, POS API Sandbox or POS API Developer Tools. If these other terms and conditions apply to you, we will notify you of these other terms and conditions should these other terms and conditions become relevant to your activity on the POS API Deliveroo developers or use of our POS API Sandbox or POS API Developer Tools. You must comply with these terms and policies as well as these Terms of Use.

From time to time you may, with our agreement, participate in a live beta test of our POS API. If this is the case, we will provide you with a copy of our POS API Beta Testing Agreement for you to enter into.

4. ACCEPTABLE USE

You may only use our POS API Deliveroo developers for the purposes of:

  • accessing our POS API Developer Documentation; and
  • communicating with us.

If you have registered with us and have created an account, you may also use our POS API Deliveroo developers for:

  • accessing information about and using our POS API Developer Tools;
  • uploading your software code to our POS API Deliveroo developers; and
  • using our POS API Sandbox.

You may use our POS API Deliveroo developers only for lawful purposes. You may not access or use our POS API Deliveroo developers (including our POS API Developer Tools and POS API Sandbox):

  • in any way that breaches any applicable local, national or international law or regulation;
  • to send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards in section 6 below;
  • to harass any other person; and
  • without authority, interfere with, damage or disrupt any part of our POS API Deliveroo developers, POS API Developer Tools, POS API Sandbox or any network or equipment used in the provision of our services to partner restaurants or customers.

5. INTERACTIVE FEATURES OF DELIVEROO DEVELOPERS

We may from time to time provide certain features which allow you to interact through our POS API Deliveroo developers, such as chat rooms. Generally, we do not moderate any interactive service we provide although we may remove content in contravention of these Terms of Use as set out in section 6. If we do decide to moderate an interactive service, we will make this clear before you use the service and normally provide you with a means of contacting the moderator, should a concern or difficulty arise.

6. CONTENT STANDARDS

These content standards apply to any and all information, feedback, ideas, documentation or material which you contribute to our POS API Deliveroo developers ("Contributions"), and to any interactive services associated with it. You must comply with the spirit of the following standards as well as the letter. The standards apply to each part of any Contributions as well as to its whole.  

Contributions must be accurate (where they state facts), be genuinely held (where they state opinions), be owned by you (where they contain intellectual property) and comply with applicable law in the UK and in any country from which they are posted. Contributions must not:

  • contain any material which is defamatory of any person, obscene, offensive, hateful or inflammatory, promote sexually explicit material or promote violence or promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
  • infringe any copyright, database right or trademark of any other person;
  • be likely to deceive any person or be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence or promote any illegal activity;
  • be threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety or be likely to harass, upset, embarrass, alarm or annoy any other person;
  • be used to impersonate any person, or to misrepresent your identity or affiliation with any person or give the impression that they emanate from us, if this is not the case; or
  • advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

7. SECURITY

You warrant and undertake that when accessing or using our POS API Deliveroo developers (including, if applicable, our POS API Sandbox or POS API Developer Tools) you will take all necessary precautions and implement industry standard measures to ensure, as far as possible, that your systems and Contributions are secure, error-free and do not contain any program, routine, device or other feature or hidden file, including any time bomb, virus, software lock, trojan horse, drop-dead device, worm, malicious logic or trap door that may delete, disable, deactivate, interfere with or otherwise harm any of our hardware, software, data or other programs or systems (collectively, “Malicious Code”).

8. CONFIDENTIALITY

If you have registered with us and created an account, any content or information that we provide to you and which is accessible via the POS API Deliveroo developers is our confidential information (“Confidential Information”). You agree that you will keep our Confidential Information secret and only share it with those of your employees, contractors or agents that need to know the same and only where they are under a contractual obligation of confidentiality to you.

9. SUSPENSION AND TERMINATION

Failure to comply with section 4 (Acceptable Use), 7 (Security), or 9 (Intellectual Property Rights) in these Terms of Use constitutes a material breach of the Terms of Use, and may result in our taking all or any of the following actions:

  • immediate, temporary or permanent withdrawal of your right to access our POS API Deliveroo developers (including suspension or deletion of any account that you may have registered with us);
  • issuing of a warning to you;
  • legal action against you including proceedings for reimbursement of all costs on an (including, but not limited to, reasonable administrative and legal costs) resulting from the breach; or
  • disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

The responses described in this clause are not limited, and we may take any other action we reasonably deem appropriate.

10. INTELLECTUAL PROPERTY RIGHTS

We are the owner of, or the licensee of, all intellectual property rights in our POS API Deliveroo developers, POS API Sandbox, POS API Developer Tools and POS API Developer Documentation. Those works are protected by copyright laws and treaties around the world. All such rights are reserved and you do not have any rights, title or interest in or to any of the foregoing except as expressly provided for in these Terms of Use.

Subject to you complying with these Terms of Use, we grant you a limited, revocable, non-exclusive, royalty-free, non-sublicensable licence to access and use the POS API Deliveroo developers and POS API Developer Documentation solely for the purposes permitted under section 4 of these Terms of Use.

If you have registered with us, this license shall be extended to your access and use of the POS API Developer Tools and POS API Sandbox.

You may not copy, reproduce, republish, download, post, broadcast, transmit, make available to the public, or otherwise use the material on the POS API Deliveroo developers or the POS API Developer Documentation, POS API Sandbox or POS API Developer Tools for any purpose not explicitly permitted under these Terms of Use.

You hereby grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sub-licensable licence to use all Contributions that you submit via the POS API Deliveroo developers for any purpose, without restriction, including the right to modify, adapt, create derivative works from, and commercialise such Contributions, without remuneration or accreditation to you.

You warrant that you own all your Contributions (or otherwise have the right to grant the above licence to us) and that your submission of your Contributions and our publication or use of those Contributions will not infringe the rights (including intellectual property rights) of any third party. You waive all moral rights and similar rights that may subsist anywhere in the world in relation to your Contributions.

11. RELIANCE ON INFORMATION POSTED

All information and materials (including the POS API Developer Documentation) provided on the POS API Deliveroo developers are for your information only and are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our POS API Deliveroo developers, or by anyone who may be informed of any of its contents.

12. OUR DELIVEROO DEVELOPERS CHANGES REGULARLY

We may change the content in our POS API Deliveroo developers or POS API Developer Documentation at any time. If applicable to you, we may also change the functionality and performance of the POS API Developer Tools and POS API Developer Sandbox at any time too. If the need arises, we may suspend access to our POS API Deliveroo developers and any content or functionality of it or close them indefinitely. Any of the material on our POS API Deliveroo developers or in our POS API Developer Documentation may be out of date at any given time, and we are under no obligation to update such material.

13. OUR LIABILITY

To the extent permitted by law, Deliveroo provides our POS API Deliveroo developers and POS API Developer Documentation on an "as-is" and "as available" basis and we make no representation or warranty of any kind, express or implied, regarding the content or availability of our POS API Deliveroo developers or POS API Developer Documentation or performance or functionality of the POS API Developer Tools or POS API Sandbox, or that any will be accurate or error-free or that defects will be corrected.

To the extent permitted by law, we exclude all liability (whether arising in contract, in negligence or otherwise) for loss or damage which you or any third party may incur in connection with our POS API Deliveroo developers, POS API Developer Documentation, POS API Developer Tools or POS API Sandbox or any website linked to our POS API Deliveroo developers or POS API Developer Documentation and any materials posted on it, including (without limitation) for any:

  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss or corruption of data;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or
  • any loss or damage caused by a virus, distributed denial-of-service attack or other Malicious Code that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the POS API Deliveroo developers, POS API Developer Tools, POS API Sandbox or the POS API Developer Documentation.

This does not affect our liability for death or personal injury arising from our negligence, or our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, or any other liability which cannot be excluded or limited under applicable law.

14. DATA PROTECTION

Where applicable, you acknowledge that you have read and understood the terms of our Privacy Policy at https://deliveroo.co.uk/privacy and agree to comply with it. If you have provided your personal data to us as part of the registration of an account to access the POS API Deliveroo developers, you expressly consent to our processing of your personal data for the purposes of administering your account on the POS API Deliveroo developers and for administering your use of it. We agree that we will not share your personal data with any other POS API Deliveroo developers User.

15. LINKS FROM OUR SITE

Where our POS API Deliveroo developers contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

16. JURISDICTION AND APPLICABLE LAW

The English courts will have exclusive jurisdiction over any claim arising from, or related to, use of our POS API Deliveroo developers (including our POS API Developer Tools and POS API Sandbox). These Terms of Use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

17. VARIATIONS

We may revise these Terms of Use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are binding on you.

18. SEVERABILITY

If any provision of these Terms of Use is judged to be illegal or unenforceable, the continuation in full force and effect of the remainder of the provisions shall not be prejudiced.
