Welcome to API Deliveroo developers ("API Deliveroo Developers"). This page (together with the documents referred to on it) contains the legally binding the terms of use (“Terms of Use”) on which you (an “API Deliveroo Developers User”) may make use of the information and functionality of our API Sandbox, API Developer Tools and API Developer Documentation (each defined in section 2).
Please read these Terms of Use carefully. By accessing our API Deliveroo Developers, you indicate that you accept these Terms of Use and that you agree to abide by them when using API Deliveroo Developers. If you are an employee, director or agent of a company or other organisation, you represent and warrant that you are authorised to accept these terms on behalf of your company or organisation. If you do not agree to these Terms of Use, do not access API Deliveroo Developers.
API Deliveroo Developers is operated by Roofoods Limited ("we", "us" or "Deliveroo"), incorporated and registered in the England and Wales, whose registered office is at The River Building, Level 1 Cannon Bridge House, 1 Cousin Lane, London, EC4R 3TE, United Kingdom. The purpose of API Deliveroo Developers is to provide information and documentation to our community of developers (“API Developer Documentation”) who wish to use our software development testing environment for the, Partner Platform Suite API, Retail Platform Suite API, Signature API Suite and any other Deliveroo owned APIs that Deliveroo agrees to licence to make available to you from time to time, including those APIs detailed at https://partners.deliveroo.com/docs/#overview (“API Sandbox”) and our other software development libraries and tools relating to the same (“API Developer Tools”).
Access to our API Deliveroo Developers is permitted on a temporary, invitation-only basis, and we reserve the right to withdraw or amend access to API Deliveroo Developers without notice (see below). We will not be liable if, for any reason (including our negligence), API Deliveroo Developers is unavailable at any time or for any period.
Please note that we restrict access to the API Sandbox and some of the API Developer Documentation and API Developer Tools to API Deliveroo Developers Users who have registered and created a login account with us. We reserve the right to deactivate accounts of API Deliveroo Developers Users at any time for any reason.
If you register with us and create an account, you are responsible for maintaining the confidentially of your login details and any activities that occur under your account in respect of API Deliveroo Developers. You must not share your login details with anyone else. If you have any concerns about your login details or think they have been misused, you should contact us at the following email address straight away to let us know: contact.developers@deliveroo.com.
In addition to these Terms of Use, there may be other terms and conditions and policies that apply to you when you use our API Deliveroo Developers, the API Sandbox or API Developer Tools. If these other terms and conditions apply to you, we will notify you of these other terms and conditions should these other terms and conditions become relevant to your activities. You must comply with these additional terms and conditions and policies as well as these Terms of Use.
From time to time you may, with our agreement, participate in a live beta test relating to new Deliveroo APIs. If this is the case, we will provide you with a copy of our API Beta Testing Agreement for you to enter into.

Without limiting the foregoing, you may use API Deliveroo Developers only for lawful purposes. You may not access or use API Deliveroo Developers (including API Developer Tools and the API Sandbox):
We may from time to time provide certain features which allow you to interact with others through API Deliveroo Developers, such as chat rooms. Generally, we do not moderate any interactive service we provide although we may remove content in contravention of these Terms of Use as set out in section 6. If we do decide to moderate an interactive service, we will make this clear before you use the service and may provide you with a means of contacting the moderator, should a concern or difficulty arise.
These content standards apply to any and all information, feedback, ideas, documentation or material (including User Code) which you contribute to our API Deliveroo Developers ("Contributions"), and to any interactive services associated with it. The standards apply to each part of any Contributions as well as to each Contribution as a whole.
Contributions must be accurate (where they state facts), be genuinely held (where they state opinions), be owned by you (where they contain intellectual property rights) and comply with applicable law in the UK and in any country from which they are posted. Contributions must not:
You warrant and undertake that when accessing or using API Deliveroo Developers (including, if applicable, the API Sandbox or API Developer Tools) you will take all necessary precautions and implement industry standard measures to ensure that your systems and Contributions are secure, error-free and do not contain any program, routine, device or other feature or hidden file, including any time bomb, virus, software lock, trojan horse, drop-dead device, worm, malicious logic or trap door that may delete, disable, deactivate, interfere with or otherwise harm any of our hardware, software, data or other programs or systems (collectively, “Malicious Code”).
If you have registered with us and created an account, any content or information that we provide to you and which is accessible via API Deliveroo Developers is our confidential information (“Confidential Information”). You agree that you will keep our Confidential Information secret and only share it with those of your employees, contractors or agents that need to know the same and only where they are under a contractual obligation of confidentiality to you. You further agree that you will be responsible and fully liable for the acts and omissions of such employees, contractors and agents.
Failure to comply with section 4 (Acceptable Use), 7 (Security), or 9 (Intellectual Property Rights) in these Terms of Use constitutes a material breach of the Terms of Use, and may result in our taking all or any of the following actions:
The responses described in this section are not limited, and we may take any other action we reasonably deem appropriate.
We are the owner of, or the licensee of, all intellectual property rights in API Deliveroo Developers, the API Sandbox, API Developer Tools and the API Developer Documentation. Those works are protected by copyright laws and treaties around the world. All such rights are reserved and you do not have any rights, title or interest in or to any of the foregoing except as expressly provided for in these Terms of Use.
Subject to you complying with these Terms of Use and any other applicable terms and conditions and policies notified to you pursuant to section 3, we grant you a limited, personal, revocable, non-exclusive, royalty-free, non-sublicensable, non-transferable, licence to access and use API Deliveroo Developers and the API Developer Documentation solely for the purposes permitted under section 4.
If you have registered with us and created an account, the foregoing license shall be extended to cover access and use of API Developer Tools and the API Sandbox, in each case solely for the purposes permitted under section 4.
You may not copy, reproduce, republish, download, post, broadcast, transmit, make available to the public, or otherwise use the material made available via API Deliveroo Developers or the API Developer Documentation, the API Sandbox or API Developer Tools for any purpose not explicitly permitted under these Terms of Use.
You hereby grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable, sub-licensable (directly and indirectly through multiple tiers), unlimited licence to use all Contributions that you submit via API Deliveroo Developers for any purpose, without restriction, including the right to modify, adapt, create derivative works from, and commercialise such Contributions, without remuneration or accreditation to you.
You warrant and represent that you own all right, title and interest in and to your Contributions (or otherwise have the requisite rights to grant the foregoing licence to us) and that your submission of your Contributions and our publication or use of those Contributions will not infringe the rights (including intellectual property rights or rights of privacy) of any third party. You waive all moral rights and similar rights that may subsist anywhere in the world in relation to your Contributions.
All information and materials (including the API Developer Documentation) provided on API Deliveroo Developers are for your information only and are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility (including under negligence) arising from any reliance placed on such materials.
We may change the content in API Deliveroo Developers or the API Developer Documentation at any time. If applicable to you, we may also change the functionality and performance of API Developer Tools and the API Sandbox at any time too. If the need arises, we may suspend (or permanently discontinue) access to API Deliveroo Developers and any content or functionality therein. Any of the material on API Deliveroo Developers or in the API Developer Documentation may be out of date at any given time, and we are under no obligation to update such material.
To the maximum extent permitted by applicable law, Deliveroo provides API Deliveroo Developers, API Developer Tools, the API Sandbox and the API Developer Documentation on an "as-is" and "as available" basis and we make no representation, warranty or condition of any kind, express or implied, regarding the content or availability of the same, or that all or any part of it will be accurate or error-free or that defects will be corrected. To the maximum extent permitted by applicable law, we exclude all liability (whether arising in contract, tort (including negligence or otherwise)) for loss or damage which you or any third party may incur in connection with API Deliveroo Developers, the API Developer Documentation, API Developer Tools or the API Sandbox or any website linked to the same and any materials posted on them, including any liability for:
Our total aggregate liability (whether arising in contract, tort (including negligence or otherwise) for loss or damage which you or any third party may incur in connection with API Deliveroo Developers, the API Developer Documentation, API Developer Tools or the API Sandbox or any website linked to the same and any materials posted on them shall not exceed £100.
The foregoing does not affect our liability for death or personal injury arising from our negligence, or our liability for fraud or any other liability which cannot be excluded or limited under applicable law.
Where applicable, you acknowledge that you have read and understood the terms of our Privacy Policy at https://deliveroo.co.uk/privacy and agree to comply with it. If you have provided your personal data to us as part of the registration of an account to access API Deliveroo Developers, you expressly consent to our processing of your personal data for the purposes of administering your account. We agree that we will not share your personal data with any other API Deliveroo Developers User.
Where API Deliveroo Developers contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no liability (including under negligence) responsibility for them or for any loss or damage that may arise from your use of them.
The English courts have exclusive jurisdiction over any claim arising from, or related to these Terms of Use and the use of API Deliveroo Developers (including API Developer Tools and the API Sandbox). These Terms of Use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England.
We may revise these Terms of Use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are binding on you. We also recommend that you print a copy of this page for your records.
If any provision of these Terms of Use is judged to be illegal or unenforceable, the continuation in full force and effect of the remainder of the provisions shall not be prejudiced.
The headings used in these Terms of Use are inserted for ease of reference only and will not affect construction. References to “sections” are references to the sections of these Terms of Use. References to persons will include bodies corporate, unincorporated associations and partnerships, in each case whether or not having a separate legal personality. References to the word “include” or “including” (or any similar term) are not to be construed as implying any limitation and general words introduced by the word “other” (or any similar term) will not be given a restrictive meaning by reason of the fact that they are preceded or followed by words indicating a particular class of acts, matters or things and all definitions will apply, where the context requires, to cognate forms and plural and singular forms, and any other forms.
